INDIVIDUAL ATHLETE SPONSORSHIP AGREEMENT

This Agreement is made and entered into by and between (Company Name) (hereafter called "the Company") and the USA Canoe/Kayak Team (hereafter called "USACK" on behalf of (Athlete Name) (hereafter called "the Athlete").
1. The Company will pay to USACK on behalf of the Athlete, compensation as follows:

2. The Company's status as an Individual Sponsor is limited solely and exclusively to its rights to utilize the services of the Athlete.
3. In exchange for the payment of the sponsorship fee by the Company, USACK agrees to allow the Company to serve as an Individual Athlete Sponsor for the limited purpose described below:

This agreement gives the Company no rights to refer to sponsorship of the USACK in any of its advertising or promotional materials, nor does it have the rights to use any of the USACK trade names or trademarks. The Company is similarly prohibited from making any reference to the Olympic Games (other than the Athlete's participation in or performance at the Olympic Games) or using any trademarks or trade names belonging to the United States Olympic Committee (USOC) without approval from the USOC.
5. The Company is obligated to submit all advertising copy relating to the paddler's participation in the activity described in paragraph 3 of this Agreement to USACK for USACK's approval, prior to its publication or use by the Company. If the Company uses the Athlete's name and/or likeness, the phase "(Athlete Name) appears with the permission of the USA Canoe/Kayak Team" must appear in conjunction with it's use. USACK is required to respond in writing regarding approval within three (3) working days of receipt of the Company's communication. Absence of a written response within three (3) days constitutes approval.
6. This agreement is intended to and shall be interpreted in a manner consistent with the laws of the State of New York.
7. This document comprises the full and complete agreement between the parties.
8. This document does not constitute a partnership or joint venture between the parties.
9. The rights and obligations created by the Agreement are exclusive and shall not be transferred or assigned.
10. This Agreement and rights and conditions created by it commence (Date) and terminate on (Date).

11. USACK will be excused from performing any element of the Agreement if such performance would, in the judgement of USACK: (1) jeopardize the Athlete's amateur status or eligibility to compete in any amateur canoe/kayak event, or (2) adversely affect USACK's ability to perform it's natural governing body function.
12. The Company will be excused from the obligations of the Agreement if: (1) the Athlete breaches the terms and conditions for this agreement, or (2) the Athlete is suspended or expelled from the USACK.
